Deine Aufgaben
- Unterstützung der Teams in Deutschland, Österreich und der Schweiz bei allen Aspekten regionaler M&A-Transaktionen, strategischer Investitionen, Joint Ventures, Veräußerungen und ähnlicher Transaktionen im Unternehmen.
- Entwurf, Verhandlung und Abschluss einer breiten Palette von Verträgen im M&A Bereich, darunter Mandatsvereinbarungen, Genehmigungsvorlagen, Geheimhaltungsvereinbarungen und Term Sheets sowie Joint-Venture-Vereinbarungen und Firmenbeteiligungs- und Kaufverträge (Share- und Asset Deals).
- Steuerung und Management der Due Diligence-Prüfung, Erkennen und Bewerten (rechtlicher) Risiken, Koordination interner Stakeholder und Genehmigungsprozesse sowie die Anleitung externer Kanzleien und sonstiger Berater.
- Leitung funktionsübergreifender Arbeitsabläufe in Zusammenarbeit mit den Bereichen Finance, Ventures & Investments, Steuern, Personal, Operations und anderen internen Partnern während des gesamten Life Cycles der jeweiligen Transaktion.
- Allgemeine rechtliche Beratung in Bezug auf und Steuerung von Governance-Fragen und andere Themen im Zusammenhang mit vergangenen und aktuellen Transaktionen.
- Optimierung von Transaktionsprozessen durch Beratung zu Best Practices, Entwicklung skalierbarer Verfahren und Förderung kontinuierlicher Verbesserungen bei Due-Diligence- und Ausführungsabläufen.
Wer du bist
- Volljurist*in nach deutschem Recht (erstes und zweites Staatsexamen)
- Mindestens 3 Jahre relevante Erfahrung in einer größeren Wirtschaftskanzlei, idealerweise mit substanzieller Verantwortung in M&A-Transaktionen
- Fundierte Kenntnisse im deutschen Handels- und Gesellschaftsrecht
- Starke Verhandlungsfähigkeit und ein präziser Umgang mit Sprache – auch bei komplexen Sachverhalten
- Ausgeprägtes Kommunikations- und Analysevermögen sowie die Fähigkeit, rechtliche Themen verständlich und adressatengerecht zu vermitteln
- Teamplayer mit ausgeprägtem Servicegedanken und dem Anspruch, gemeinsam erfolgreiche Transaktionen umzusetzen
- Souveräner Umgang mit mehreren Prioritäten in einem dynamischen Umfeld, gepaart mit hoher Genauigkeit und fundiertem Urteilsvermögen
- Flexibel und offen, auch über M&A hinaus bei allgemeinen rechtlichen Fragestellungen zu unterstützen, je nach geschäftlichem Bedarf
